Michael P. McCauley, Director, Office of Corporate Governance & Communications, State Board of Administration (SBA) of Florida
Mike McCauley began working at the SBA in 1997. Mr. McCauley’s primary responsibilities include active strategies within corporate governance as well as conducting research on investment strategies, products and benchmarks within the Florida Retirement System (FRS). He also has responsibility for client service activities relating to non-pension investment products and organization-wide public relations and communications duties. Previously, he worked for the Florida League of Cities managing deferred compensation and defined contribution pension plans, as well as a statewide local government investment pool. Mr. McCauley is a member of the CFA Institute, the Jacksonville Society of Financial Analysts, the National Investor Relations Institute (NIRI), the National Association of Corporate Directors (NACD), the International Corporate Governance Network (ICGN), and the International Research Association. Mr. McCauley recently served as a subcommittee member of the CFA Institute’s Global Corporate Governance Task Force and has earned the Licensed International Financial Analyst (LIFA) charter as well as the Certified Employee Benefit Specialist (CEBS) designation by the Wharton School of the University of Pennsylvania and the International Foundation of Employee Benefit Plans.
Peter Gleason is Chief Operating Officer and Director of Research for the National Association of Corporate Directors (NACD), the only national association devoted exclusively to serving the information and educational needs of corporate directors. Mr. Gleason serves as Treasurer for the NACD Board of Directors and as Chief Operating Officer of the Center for Board Leadership, a joint venture between NACD and its six Alliance Partners. The Center for Board Leadership engages in substantive research projects focused primarily on helping establish and refine “best practices” to enhance board performance.
Mr. Gleason is a frequent presenter on the subjects of corporate governance, executive and director compensation, mergers and merger integration, hostile corporate transactions, board evaluation, and strategic planning. He has appeared on CNBC’s SquawkBox and PowerLunch, Reuters TV, and NPR, and is regularly quoted in the national media. He served as a Commissioner on NACD’s Blue Ribbon Commissions on Director Liability, Board Leadership, Executive Compensation, and Risk Oversight, and was Vice Chairman of the Blue Ribbon Commission on Board Evaluation. He is currently a member of the Executive Advisory Panel for the Open Compliance & Ethics Group (OCEG). OCEG has been organized to help codify and standardize the way businesses approach compliance.
Mr. Gleason was formerly in the Strategy and Business Transformation Group of the Real Estate Advisory Practice at Ernst & Young, LLP, and in the Merger Integration and Change Management Consulting Group at Pritchett & Associates. In addition, Mr. Gleason spent eight years in the Research Department at Institutional Shareholder Services, including service as Vice President and Director of U.S.
Research. Mr. Gleason is a graduate of Dartmouth College and has an MBA with concentrations in both Finance and Marketing from Virginia Tech. He also holds a Certificate of Director Education from NACD’s Corporate Directors Institute.
Cynthia L. Richson is the Corporate Governance Officer for the Ohio Public Employees Retirement System (OPERS), the 10th largest state pension plan in the U.S., with approximately $69 billion in assets. She came to OPERS in 2003 to create a corporate governance program and oversee all corporate governance initiatives at the largest state pension fund in Ohio. In 2004, she was appointed to the Public Company Accounting Oversight Board Standing Advisory Group and she was elected to the Council of Institutional Investors Board of Directors in 2005.
Ms. Richson previously served as the Director of Corporate Governance for the State of Wisconsin Investment Board (SWIB). In addition to overseeing all corporate government activities at SWIB, Ms. Richson created the nationally recognized Directors’ Summit in 2001, formerly an annual corporate governance education program for corporate directors and executives sponsored by SWIB. Other affiliate sponsors of the Directors’ Summit included the New York Stock Exchange, Nasdaq, CALPERS, TIAA-CREF, Barclays Global Investors, and the National Association of Corporate Directors.
Ms. Richson has appeared on CNBC and is also a frequent speaker at director education and other corporate governance programs. Ms. Richson earned a Juris Doctorate with Honors, from the IIT Chicago-Kent College of Law in 1990 and an MBA from the University of Wisconsin-Madison in 1998. She previously served in several executive level positions in the insurance industry and she has also counseled clients in the private practice of law where she most recently advised technology and other business clients. In addition, her private sector experience includes serving as General Counsel for a national restaurant franchisor and as a Vice President for a large insurance brokerage firm headquartered in Chicago.
Peter C. Cain, Managing Director, DLA
Peter Cain is a Managing Director of David Landau & Associates LLC. Mr. Cain has over 25 years of experience with extensive experience in helping companies address corporate governance and strategic/tactical business needs in a broad range of industries including life sciences, manufacturing, transportation, energy, entertainment, communications, logistics, and financial services sectors. Peter’s recent clients include: Kimco Realty, Fortress Investment, LeCroy Corporation, Imany Inc., Raritan Computer Corporation, Integramed Corporation, Superior Essex Inc., Modem Media Corporation, MIM Corporation, Orchid BioSciences, Zanett Inc., Traffix Inc., and Allion Corporation.
Prior to joining DLA, Peter worked for JP Morgan Chase, Merrill Lynch, Ogden Corporation and British Petroleum Corporation in executive financial management positions which included: audit and tax advisory; risk assessment; and compliance management programs.
Peter is a graduate of Villanova University, with a BS degree in Finance and Accounting, and an MBA degree from Pace University.
