LICENSE – USE OF CONTENT

Upon joining the Honeycomb Worldwide Inc. Community, you acknowledge and agree to grant Honeycomb Worldwide Inc. an irrevocable, perpetual, worldwide, unrestricted, royalty-free right and license (the “License”) to use, edit, reproduce, publish, translate, sublicense, assign, copy and distribute and/or incorporate into other works in any form, media, or technology now known or hereafter developed, without compensation of any kind to you (i) any and all content (including but not limited to research reports, membership lists, customer requests, business studies and analyses), materials, information, opinions, software applications, products, services, Site design elements and graphics and related documentation that you may provide or make available to the Honeycomb Worldwide Inc. Community in any form whatsoever (including but not limited to verbal communications) and includes any and all Content previously provided or made available by you to the Honeycomb Worldwide Inc. Community since becoming a member of the Honeycomb Worldwide Inc. Community irrespective of the date of membership (collectively, the “Content”); and (ii) any and all trademarks related to the Content.

You represent and warrant that you own or otherwise control all of the rights to the Content, have the full right and authority to use and/or license such Content to third parties, that none of such Content is subject to any copyright or other proprietary right of a third party and use by Honeycomb Worldwide Inc. will not infringe any rights, including without limitation intellectual property rights, of any third party.

PROPRIETORY RIGHTS

You acknowledge and agree that Honeycomb Worldwide Inc. is the sole and exclusive owner of any and all content, materials, information, software applications, products, services, Site design elements and graphics and related documentation on our Site other than the Content as provided by Honeycomb Worldwide Inc. Community members as discussed above (“Honeycomb Worldwide Inc. Materials”).

Upon your membership to the Honeycomb Worldwide Inc. Community, you further acknowledge and agree that Honeycomb Worldwide Inc. shall be the sole and exclusive owner of and Honeycomb Worldwide Inc. shall have the unfettered right to use, edit, reproduce, publish, translate, assign, copy and distribute and/or incorporate into other works in any form, media, or technology now known or hereafter developed, without compensation of any kind to you: (i) any and all dialogues or conversations via face-to-face events, discussions, conference calls, online forums, or chat and email electronic communications that result from or take place through the Honeycomb Worldwide Inc. Community or in connection with your membership (collectively, the “Dialogues”); (ii) any and all photographs taken by Honeycomb Worldwide Inc. at Honeycomb Worldwide Inc Community events or forums or in connection with your membership (“Photographs”); and (iii) any and all changes, corrections, modifications, adaptations, additions to, enhancements, and up-dates to the Content, Dialogues and Photographs.

LIMITATIONS ON USE

Except as expressly authorized in writing by Honeycomb Worldwide Inc., you shall have no rights to any Honeycomb Worldwide Inc Materials, the Dialogues, the Photographs, or third party Content as provided to the Honeycomb Worldwide Inc Community by another member, and agree not to use in any way whatsoever, including without limitation, the sale, license, rental, modification, distribution, or reproduction of any Honeycomb Worldwide Inc. Materials, the Dialogues, the Photographs, or such third party Content. Honeycomb Worldwide Inc. reserves the right to not publish or to remove any Content, Dialogues and Photographs that they deem, at any time and in their sole discretion, to be inappropriate for the Site or any Honeycomb Worldwide Inc. Community event or forum, for any reason whatsoever without notice.

DISCLAIMER OF WARRANTIES

Our services, the site, all Honeycomb Worldwide Inc. materials, content, dialogues and photographs included in or available through the site or at or through Honeycomb Worldwide Inc. community events or forums are provided “as is” and “as available” for your use as provided by the terms and conditions of this agreement, and are used entirely at your risk. Our services, the site, all Honeycomb Worldwide Inc. materials, content, dialogues and photographs included in or available through the site or at or through Honeycomb Worldwide Inc. community events or forums are provided without warranties or representations of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or no infringement.Honeycomb Worldwide Inc., its subsidiaries, its affiliates and its licensors do not warrant or represent that their services including access to and use of the site will be available at any particular time or location, be uninterrupted, timely or secure; meet your requirements or expectations in terms of the quality of the information provided; that any defects or errors will be corrected; or that the site, all Honeycomb Worldwide Inc. materials, content, dialogues and photographs thereon are free of viruses or other harmful components. LIMITAION OF LIABILITY

Under no circumstances shall Honeycomb Worldwide Inc., its affiliates or its licensors be liable for any direct, indirect, punitive, incidental, special, or consequential damages that result from your membership and our services. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Honeycomb Worldwide Inc. has been advised of the possibility of such damage. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, Honeycomb Worldwide Inc.’s liability in such jurisdictions shall be limited to the extent permitted by law. Honeycomb Worldwide Inc. shall in no way be responsible for any detrimental reliance you may place on the services, the site, the Honeycomb Worldwide Inc. materials, contents, dialogues or photographs.

INDEMNIFICATION

Upon a request by Honeycomb Worldwide Inc., you agree to defend, indemnify, and hold harmless Honeycomb Worldwide Inc. and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including lawyer’s and other professionals’ fees, that arise from your membership and our services including your use or misuse of our Site, or any Honeycomb Worldwide Inc. Materials, Content, Dialogues or Photographs posted thereon or at or through any Honeycomb Worldwide Inc. Community event or forum by you. Honeycomb Worldwide Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Honeycomb Worldwide Inc. in asserting any available defense.

Honeycomb Worldwide Inc. does not warrant the completeness, timeliness or accuracy of any of the information, ideas thoughts, suggestions or associated instruction put forth during any meeting of Honeycomb Worldwide Inc. Further, all information, ideas, thoughts, suggestions and associated instructions conveyed at anytime during your tenure as a member of Honeycomb Worldwide Inc. is provided to you “AS IS”. In no event shall Honeycomb Worldwide Inc. be liable for any damages of any kind related to the use or misuse of information provided hereby.

Honeycomb Worldwide Inc. expressly disclaims all warranties and conditions whether express or implied in respect of the information, ideas, thoughts, and suggestions or associated instruction put forth during your tenure as a member of Honeycomb Worldwide Inc., including the implied warranties and conditions of fitness for a particular purpose, merchantability, and non-infringement. Honeycomb Worldwide Inc. shall not be liable for, and assumes no responsibility, for any losses, whether direct, indirect, special or consequential, which arise out of, or in anyway connected with, the use of such information, ideas, thoughts, associated instruction, or suggestions put forth during your tenure as a member of Honeycomb Worldwide Inc.

All information, ideas, thoughts, suggestions or associated instruction provided to Honeycomb Worldwide Inc. put forth during your tenure as a member of Honeycomb Worldwide Inc. will be received by Honeycomb Worldwide Inc. on a non-confidential basis.Honeycomb Worldwide Inc. reserves the right to use such information, ideas, thoughts, suggestions or associated instruction in its sole discretion. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada , excluding its conflicts of laws rules.

Honeycomb Worldwide Inc. reserves the right, at any time and in its sole discretion, to terminate your membership and your access to all or part of our Site, with or without notice.
