1. Ordering, Fees and Taxes
    Fees are due at purchase unless otherwise agreed in writing. All fees are non-refundable except where required by law. Prices exclude applicable taxes, which will be added where required.
  2. Scope of Service
    The Webinar Summary service includes the preparation of a professionally written and designed summary of a client webinar. The service may be applied to webinars hosted on Xtalks or external platforms. Deliverables will include a written summary formatted in Xtalks’ branded template. Any additional customizations beyond the agreed scope may incur extra charges at the discretion of Honeycomb Worldwide Inc.
  3. Client Responsibilities
    Clients must provide all necessary webinar assets, including the recording and presentation materials as part of their Xtalks webinar or in a timely manner if hosted on an external platform. Clients are solely responsible for ensuring they hold all rights, licenses, and permissions to use and share the provided materials.
  4. Delivery Timeline
    Delivery timelines commence once all required materials have been received. Typical turnaround time is two business days, subject to client responsiveness. 
  5. Delivery of Webinar Summaries
    For Xtalks-hosted webinars: The Webinar Summary may be delivered as part of the standard post-event package. The summary will be included in the email notification sent to all registrants at the same time as the webinar recording. To be eligible, the client must either waive the right to edit the summary or finalize any requested edits within two (2) business days of the live webinar date. Additional emails promoting or distributing the summary are not included and may be subject to separate agreement and fees. For externally recorded webinars: Delivery is limited to provision of the completed summary file. No registrant communications, email distribution, or webinar recording access are provided unless separately contracted.
  6. Rights in Deliverables and Background IP
    As between you and Xtalks, Xtalks owns the Webinar Summary and all associated rights, including the published article on Xtalks.com or delivered files. You are granted a non-exclusive right to reference, share, and repurpose the Webinar Summary for your own marketing, provided that attribution to Xtalks is maintained. Republishing the summary in full on third-party platforms requires prior written approval from Xtalks. Editable drafts, notes, or background editorial materials are not included.
  7. Limited License to Customer Content
    You grant Xtalks a non-exclusive, worldwide, royalty-free license to use, copy, edit, process, and store the materials you provide solely to create, deliver, publish, and promote the Webinar Summary under these Terms. Xtalks will not use your content to train models, generate unrelated content, or for any purpose beyond fulfilling this service without your written permission.
  8. Review Window and Revisions
    Two (2) rounds of revisions are included if requested within ten (10) business days of delivery. Additional revisions beyond this scope may be subject to additional fees. Clients who do not provide edits or approval by the specified deadline authorize Xtalks to deliver and/or publish the most recent version of the summary.
  9. Deletion and Retention
    Upon written request, Xtalks will delete customer-provided materials and related working files within thirty (30) days, except where retention is required by law or to resolve a dispute. Final summaries may be archived by Xtalks for quality and portfolio purposes for up to twelve (12) months.
  10. Confidentiality
    Each party will keep the other party’s non-public information confidential and will use it only to perform under these Terms, except as required by law.
  11. Warranties and Disclaimers
    Xtalks warrants that the Webinar Summary will be created with professional skill and care. However, Xtalks does not guarantee specific results such as audience engagement, lead generation, search rankings, or commercial success.
  12. Refunds and Cancellations
    Cancellations must be requested in writing before work begins. Once production has started, refunds are not available. In the event of client withdrawal after production has commenced, fees paid are non-refundable.
  13. Indemnification
    You will defend and indemnify Xtalks from claims, damages, liabilities, costs, and expenses arising from the materials you provide, including claims that the content infringes third-party rights, makes misleading claims, or violates privacy or data protection laws.
  14. Limitation of Liability
    To the maximum extent permitted by law, Xtalks will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues arising from the Webinar Summary service. Xtalks’ liability in connection with the Webinar Summary service is limited to the total fees paid by the client for the specific order.
  15. Force Majeure
    Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, acts of government, labor disputes, utility failures, or internet outages. The affected party will use commercially reasonable efforts to mitigate the impact.
  16. Governing Law and Venue
    These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.
  17. Privacy Policy
    Your use of the service is also governed by the Xtalks Privacy Policy, which explains how we collect, use, and protect personal information. By purchasing and using the service, you acknowledge and agree to the Privacy Policy.
  18. 18. General Terms
    These Terms, together with any order confirmation or invoice, contain the entire agreement between the parties for the service and supersede any prior agreements on this subject. Any amendments must be agreed to in writing by both parties.
